Terms and Conditions of Service
This page reflects the current GoPresent Terms and Conditions of Service. The Terms govern commercial, billing, refund, account, service delivery, and liability matters across the Free tier, Raise Ready, Scout Portal, and Consulting Services, and are intended to be read together with the Data Processing Agreement and Privacy Policy.
1. Introduction and acceptance
These Terms govern access to and use of the GoPresent platform, software, and associated services provided by GoPresent Ltd. By registering for an account, accessing the services, or clicking an acceptance control, the customer confirms that it has read, understood, and agrees to be bound by these Terms and the Data Processing Agreement.
If a customer accepts on behalf of a company or other legal entity, that person represents that they have authority to bind that entity. Material changes to the Terms require at least 14 days' written notice.
2. Service tiers
The Terms define Free tier as the complimentary review service available to founders and scouts, Raise Ready as the one-time paid access tier granting full founder platform features for one raise cycle, Scout Portal Premium as the paid scout access tier granting full scout analysis and credit-based features, Consulting Services as separate human-led engagements governed by a statement of work, and Add-Ons as supplemental paid services.
The platform is provided for business purposes only. By registering for an account or submitting materials, the customer confirms that it is acting in a business capacity and not as a consumer. Clients must provide accurate account information, safeguard credentials, and notify GoPresent of unauthorised access.
3. Commercial terms and pricing
All fees are exclusive of VAT. Raise Ready is sold as a one-time purchase granting access for the duration specified at the time of sale. Consulting services and certain add-ons are sold separately, with consulting engagements requiring a separate statement of work and a 50% non-refundable deposit unless the SOW states otherwise.
Stripe processes payments. Failed payments may be retried three times over seven days, after which GoPresent may downgrade or suspend access. Price changes require 30 days' prior written notice.
One-time purchases are non-refundable except where required by applicable law or where GoPresent agrees otherwise in writing. Billing disputes must be raised within 30 days of invoice date.
4. Data usage and AI model training
4.1 Free Tier. By creating or maintaining a Free Tier account, the customer grants GoPresent a perpetual, royalty-free, worldwide licence to use the prompts the customer submits, the documents the customer uploads, and the AI outputs generated from them ("Customer Data") to develop, train, fine-tune, evaluate, and improve GoPresent's own AI models and Services. This licence is in addition to the limited licence granted for service-delivery purposes elsewhere in these Terms.
4.2 Paid Tiers. If the customer is on a Paid Tier (currently Raise Ready at £499 launch promo / £749 regular, and Scout Portal Premium on commercial launch), GoPresent will not use the customer's prompts, uploaded documents, or AI outputs to train, fine-tune, evaluate, or improve any AI model. The licence in clause 4.1 does not apply to Customer Data created while the customer is on a Paid Tier. Consulting Services are a separate category governed by clause 4.8 — they may, by exception, permit training where the customer provides explicit written consent in the applicable Statement of Work.
4.3 Aggregate Usage Metrics. Regardless of tier, GoPresent may collect and use anonymised aggregate usage metrics (feature-adoption rates, session durations, error rates, and similar operational statistics) for product-improvement purposes. Aggregate Usage Metrics do not include the content of the customer's prompts, uploaded documents, or AI outputs.
4.4 Tier-at-time-of-creation. Customer Data is tagged with the tier at which it was created. Upgrading from Free Tier to a Paid Tier removes the licence in clause 4.1 from Customer Data created after the upgrade; Customer Data created before the upgrade continues to carry the consent granted at the time of creation. Customer Data created on a Paid Tier never enters the training corpus.
4.5 Subprocessors. GoPresent's third-party model providers handle Customer Data under their own published terms, listed and linked in the Sub-Processors Registry at /legal/sub-processors. Because provider terms can change, GoPresent links to the live source documents rather than paraphrasing them. GoPresent does not authorise any subprocessor to use Customer Data to train their models on GoPresent's behalf.
4.6 Withdrawing consent. Free Tier users may withdraw consent for future training use of Customer Data at any time by upgrading to a Paid Tier or by contacting privacy@gopresent.ai. Withdrawal applies prospectively; any model snapshot trained before withdrawal remains valid.
4.7 Erasure. The customer may request deletion of Customer Data under Article 17 UK GDPR. Source data will be deleted from GoPresent's systems within 30 days. Model snapshots that have already been trained on such data will not be retrained — untraining is not technically feasible. This is the standard regulator position for AI training data.
4.8 Consulting Services. Consulting Services are a separate category from the Free and Paid Tiers above. Consulting client materials are confidential and are not used for model training, fine-tuning, or evaluation unless the customer provides explicit written consent in the applicable Statement of Work. Where SOW consent is given, the scope and terms set out in the SOW prevail over clauses 4.1–4.7 for those Consulting Services materials. The Terms defer to the Data Processing Agreement for the full operative rules on data processing, confidentiality, retention, and privacy matters.
5. Intellectual property and output
GoPresent retains ownership of the platform, AI models, scoring frameworks, algorithms, software, and derivative works. Customers retain ownership of their submitted materials but grant GoPresent the rights needed to process them in order to provide the services and, where applicable, model training rights described in the DPA.
Subject to payment of all applicable fees and the limits of applicable law, GoPresent assigns to the customer the output generated in respect of that customer's materials, while retaining the right to use anonymised, non-identifiable versions for benchmarking and product development.
6. Acceptable use and disclaimers
Customers must not upload infringing or fraudulent material, use the services for unlawful purposes, attempt to bypass security or access controls, use unauthorised automation, or use the services for high-risk activities defined in the DPA.
GoPresent provides the services with reasonable skill and care, but the output does not constitute financial or investment advice. AI-generated output may be inaccurate, incomplete, or misleading, and customers are responsible for reviewing output before relying on it or sharing it externally.
7. Liability, indemnity, and confidentiality
Liability caps are set by tier: Free-tier users are capped at GBP 100, Raise Ready users at 100% of the fees paid for their purchase, and Consulting Services at 100% of fees paid under the applicable SOW. GoPresent excludes indirect and consequential losses, subject to the usual legal carve-outs.
Customers indemnify GoPresent for claims arising from breaches of the Terms, infringing submitted materials, false or misleading content, or misuse of output. Both parties owe confidentiality obligations, with GoPresent's handling of submitted materials also governed by the DPA.
8. Termination, service changes, and governing law
Free-tier access may be terminated at any time. Raise Ready access and consulting engagements have notice and breach provisions as set out in the Terms and any applicable SOW. On termination, access stops, outstanding fees become immediately due, and GoPresent handles personal data and submitted materials under the DPA.
GoPresent may modify, suspend, or discontinue the services, but for Raise Ready users material reductions in functionality during an active access window require 30 days' notice and may trigger a right to terminate with a pro-rata refund of unused prepaid fees if the change is fundamental. The Terms are governed by the laws of England and Wales, with exclusive jurisdiction in the courts of England and Wales.
